THIS AGREEMENT is automatically entered into upon the acceptance of any position with Sheep Dog Transports, hereinafter referred to as the "Company". By accepting employment, the individual, hereinafter referred to as the "Employee", agrees to the terms outlined in this agreement. Collectively, the Company and the Employee are referred to as the "Parties".
1. Confidential Information
The Employee acknowledges that during the course of employment with the Company, confidential information may be disclosed. This includes, but is not limited to, client records, transport details, proprietary business information, and any information that is designated as confidential by the Company.
2. Non-Disclosure
The Employee agrees not to disclose any confidential information to any third party during or after their employment with Sheep Dog Transports, except as required by law or authorized in writing by the Company.
3. Use of Confidential Information
The Employee agrees to use confidential information only for the purpose of fulfilling their duties as an employee of Sheep Dog Transports and will not use or allow others to use the confidential information for any other purpose.
4. Return of Confidential Information
Upon termination of employment, the Employee agrees to return any and all documents, materials, or electronic media containing confidential information to Sheep Dog Transports and will not retain any copies, whether physical or digital, of such information.
5. Log-In Codes and Passwords
The Employee acknowledges that log-in codes and passwords for accessing any Company systems are strictly confidential. The Employee will not share their log-in credentials and will immediately report any suspected breach of security to the Company.
6. Breach and Remedies
Any breach of this Agreement may result in disciplinary action, including termination of employment, and/or legal action to recover damages or seek injunctions.
7. Governing Law
This Agreement shall be governed by the laws of the state in which Sheep Dog Transports operates, and any disputes arising from this Agreement shall be resolved in the courts of the same state.
8. Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
9. Acknowledgement
By accepting a position with Sheep Dog Transports, the Employee acknowledges that they have read, understood, and agreed to comply with its terms.
